1. Agreement to Terms
By accessing codxdigital.com (the “Site”) or engaging CODXDigital (“we,” “us”) for services, you agree to these Terms and Conditions. If you don't agree, please don't use the Site or our services.
2. Our Services
We provide web development, app development, SEO (including AEO/GEO), and social media marketing services, scoped individually for each project.
3. Getting Started
Every engagement starts with a short discovery call, followed by a fixed-scope, written proposal outlining deliverables, timeline, and price. Work begins once the proposal is accepted and the agreed advance payment is received.
4. Fees and Payment
- Pricing is fixed-scope and quoted after discovery; we don't bill hourly unless explicitly agreed in writing.
- Projects are paid in milestones as set out in your proposal, typically including an upfront advance to begin work.
- Late payment may pause work until the outstanding balance is settled.
5. Timelines
Typical timelines are 2–4 weeks for websites and 6–10 weeks for apps, though every proposal states a project-specific estimate. Timelines assume timely feedback and content from you; delays on your end may push back the delivery date.
6. Your Responsibilities
You agree to provide accurate project information, timely feedback, and any content, assets, or access (e.g. hosting, domain, brand assets) needed to complete the work.
7. Revisions
Every project includes an agreed number of revision rounds before final delivery, as set out in your proposal. Requests beyond that scope are treated as new work and quoted separately.
8. Ownership and Intellectual Property
- Once a project is paid in full, you own the final deliverables: the code, the site, and any accounts we set up on your behalf.
- Until final payment clears, all work product remains the property of CODXDigital.
- We may showcase completed projects in our portfolio and marketing materials unless you request otherwise in writing.
9. Confidentiality
We treat information you share about your business as confidential and won't disclose it to third parties except as needed to deliver the project, including to our own subcontractors under equivalent confidentiality terms.
10. Third-Party Services
Projects may rely on third-party platforms, plugins, or APIs, such as hosting providers, payment gateways, or AI providers. We aren't responsible for outages, pricing changes, or policy changes on services we don't own.
11. Limitation of Liability
To the maximum extent permitted by law, CODXDigital's total liability for any claim relating to our services is limited to the amount you paid us for the specific project giving rise to the claim. We aren't liable for indirect, incidental, or consequential damages.
12. Termination
Either party may end an engagement in writing. If you terminate after work has started, amounts owed for work completed remain payable, and any advance already paid remains non-refundable, per our Refund Policy.
13. Governing Law
These Terms are governed by the laws of India, without prejudice to any mandatory consumer-protection rights you may have under the laws of your own country (including the United States) if you're a consumer there.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of the Site or our services after an update means you accept the revised Terms.
